OwlyHire Terms of Service

1. Overview

These Terms of Service (“Terms”) govern your access to and use of OwlyHire’s products, websites, services, browser extensions, and mobile or desktop apps (collectively, the “Services”). By using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to the organization.

2. Eligibility and Account

• You must be at least 13 years old to use the Services (or older where required by local law).
• You are responsible for any activity that occurs under your account and for keeping your credentials secure.
• You must provide accurate information and promptly update it as necessary.

3. Use of the Services

OwlyHire provides AI‑assisted interview preparation, including real‑time suggestions, mock interviews, resume‑aware question generation, and performance analytics. You agree to:

• Comply with all applicable laws, including recording and consent laws when using transcription features.
• Use the Services only for lawful purposes and in accordance with our Acceptable Use (Section 4).
• Maintain backups of your content where appropriate; OwlyHire does not guarantee data retention.

4. Acceptable Use

• No unlawful, infringing, harassing, or fraudulent activity.
• No reverse engineering or scraping of the Services, nor circumvention of technical limits.
• No misuse of AI outputs (e.g., plagiarism, unauthorized automated decision-making where prohibited).
• No uploading of content that you do not have permission to share.

5. AI and Content Disclaimers

AI‑generated outputs may be inaccurate or incomplete. You are solely responsible for evaluating and using any suggestions, transcripts, or analytics. OwlyHire provides guidance, not legal, employment, or professional advice.

6. Your Content

• “Your Content” includes resumes, transcripts, questions, notes, messages, and other materials you upload or generate via the Services.
• You retain ownership of Your Content. You grant OwlyHire a worldwide, royalty‑free license to host, process, transmit, and display Your Content solely to provide and improve the Services.
• You are responsible for securing necessary rights and consents to Your Content.

8. Plans, Credits, and Payments

• OwlyHire may offer free trials and credit‑based or subscription plans. Credits represent usage entitlements (e.g., interview time).
• Fees are non‑refundable except where required by law.
• We may change pricing or features with reasonable notice for ongoing plans.

9. Third‑Party Services

OwlyHire may integrate with third‑party services (e.g., video platforms). Your use of those services is subject to their terms and policies. OwlyHire is not responsible for third‑party services.

10. Intellectual Property

OwlyHire and its licensors own all rights, title, and interest in the Services, including software, UI, models, and documentation. Except for rights expressly granted to you, OwlyHire reserves all rights.

11. Beta Features

We may release experimental or pre‑release features. They may be modified or discontinued at any time and are provided “as is.”

12. Warranties and Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OWLYHIRE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWLYHIRE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $50 IF NO FEES WERE PAID).

14. Indemnification

You will defend, indemnify, and hold harmless OwlyHire and its affiliates from and against claims, losses, and expenses arising from Your Content, your use of the Services, or your breach of these Terms.

15. Suspension and Termination

We may suspend or terminate access if you violate these Terms, risk harm to others or the Services, or for non‑payment. You may stop using the Services at any time.

16. Changes to the Services and Terms

We may update the Services and these Terms. If changes are material, we will provide reasonable notice. Your continued use after changes become effective constitutes acceptance.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of your country of residence if mandatory local consumer laws apply; otherwise, by the laws of Delaware, USA, without regard to conflict of laws. Disputes will be resolved in the courts of the applicable jurisdiction, except where arbitration is required by law.
